The terms governing use of spacereason.digital and engagements with Space Reason.

Acceptance
By accessing spacereason.digital or engaging Space Reason for professional services, you agree to these Terms of Service. If you do not agree, do not use the site or request an engagement.
Services described
Space Reason provides professional application audits and related reviews of reconciliation management applications. Descriptions on this site are informational. A binding engagement exists only when both parties sign a written proposal or statement of work.
Accounts and inquiries
Contact forms and email inquiries must contain accurate information. You must not use the site to submit unlawful, misleading, or harmful content.
Intellectual property
Site content, including text, visual design, and downloadable materials we provide under an engagement (unless otherwise stated), remains the property of Space Reason or its licensors. Engagement deliverables are licensed to the client as stated in the proposal — typically for internal use by the named client entities.
Client materials
You retain ownership of materials you provide for an audit. You grant Space Reason a limited licence to use those materials solely to perform the engagement.
No professional guarantee of outcomes
Findings and recommendations reflect our professional judgement based on agreed scope and available evidence. They are not a statutory audit opinion, legal advice, or a guarantee that third parties (including auditors or regulators) will reach the same conclusions.
Liability
To the fullest extent permitted under applicable law, Space Reason’s aggregate liability arising from site use or an engagement is limited to the fees paid for the specific engagement giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost data, except where liability cannot be limited under Japanese law.
Indemnity
You agree to indemnify Space Reason against claims arising from your misuse of the site, your provision of inaccurate materials, or your use of deliverables outside the licensed purpose, except to the extent caused by our wilful misconduct.
Governing law
These terms are governed by the laws of Japan. Courts in Tokyo shall have exclusive jurisdiction over disputes arising from these terms or the site, without prejudice to mandatory consumer protections where applicable.
Changes
We may update these terms by posting a revised version on this page with an updated effective date. Continued use of the site after changes constitutes acceptance of the revised terms.
